CucuMe Terms of Service for Your Personal Use

Welcome! By using CucuMe's search engine ("CucuMe lookup service") or other CucuMe services ("CucuMe Service"), you agree to be bound by the following terms and conditions (the "Terms of Service").

Service

CucuMe provides users with a list of websites which it has determined is relevant to some other website which a user is looking at. Typically, a user will point his browser at a website, and the browser (possibly using a plug-in or other software) will ask CucuMe for the list of relevant sites.

Additionally, CucuMe provides summary information to owners of websites regarding the performance of its links. It also provides a range of other information, support services, newsletters, and the like.

Content Linked to by CucuMe

The sites reported by or referenced by the CucuMe Service are developed by people over whom CucuMe exercises no control. The results that appear from CucuMe's indexes are indexed by CucuMe's automated machinery and computers, and CucuMe cannot and does not screen the sites before including them in the indexes from which such automated results are gathered. CucuMe may produce links to sites that some people find objectionable, inappropriate, or offensive. We cannot guarantee that CucuMe will not locate unintended or objectionable content and assume no responsibility for the content of any site included in any results or otherwise linked to by the CucuMe Services. The reporting of a site by CucuMe is not a reccommendation for that site.

The foregoing notwithstanding, CucuMe is under no obligation to index or to report in results each and every website or webpage which requests a listing. CucuMe may collect data from sources, including analysis of the website or webpage, analysis of 3rd party websites, manually generated complaints, and its own research in determining whether to report and when to report any website or webpage.

Personal Use Only

The CucuMe lookup service is made available for your personal, non-commercial use only. You may not use the CucuMe lookup service to sell a product or service, or to increase traffic to your Web site for commercial reasons, such as advertising sales. You may not take the results from a CucuMe lookup and reformat and display them, or mirror the CucuMe home page or result lists on your Web site. You may not "meta-search" or "scrape" CucuMe. You may not reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the CucuMe service, use of the CucuMe service, or access to the CucuMe service.

If you want to make commercial use of the CucuMe lookup service, you must enter into an agreement with CucuMe to do so in advance. Please contact us for more information.

No Automated Querying

You may not send automated queries of any sort to CucuMe's system without express permission in advance from CucuMe. Note that "sending automated queries" includes, among other things:

Registration

Some aspects of the CucuMe service are available only to registered users. In order to register you must be be of legal age to form a contract, and must not be disbarred from receiving services.

Your registration creates a username and password which provides access to your account. You must keep these confidential. If you suspect your account access details have been compromised, you must tell us immediately. and your account will be suspended. You are responsible for all activities that occur under your passwords and account until you tell us of the compromise.

If you provide any information that is untrue, inaccurate, not current or incomplete, or CucuMe has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CucuMe has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

Billing and Payment

Some aspects of the CucuMe service requiire payment. Your account details will be held on our servers, and will be available via your username and password.

CucuMe will record details of a continuous payment authority for as long as the services are provided. If at any time the authority is revoked either by you or by the payment fulfilment agent, CucuMe may withdraw the services without notice until a valid authority has been reinstated.

Changes In Terms and Conditions and CucuMe Service

We may modify or terminate our service from time to time, for any reason, and without notice, including the right to terminate with or without notice, without liability to you, any other user or any third party. We reserve the right to modify these Terms of Service from time to time without notice. Please review these Terms of Service from time to time so that you will be apprised of any changes.

Intellectual Property Policy

The use of all names, visual devices, and other marks is reserved, whether or not such names and devices have been formally registered as trademarks. Various parts of the CucuMe service are the subjects of patents and patent applications, and our rights under those patents and applications are reserved.

We respect the intellectual property rights of others, and it is our policy to use such rights only with permission. If you notice or suspect any infringement on our part, please contact us immediately.

Disclaimer of Warranties

CucuMe disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the CucuMe service results. CucuMe disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material. CucuMe disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the Internet through the CucuMe service.

The CucuMe services, and all materials, information, products, support software, and services included in the CucuMe service are provided "as-is", with no warranties whatsoever. CucuMe and its licensors expressly disclaim

You understand and agree that you download or otherwise obtain material or data through the use of the CucuMe service at your own discretion and risk, and that you will be solely responsible for any damages to your computer system or loss of data that results from the download of such material or data.

Limitation of Liability

Under no circumstances shall CucuMe or its licensors be liable to any user on account of that user's use or misuse of or reliance on the CucuMe service arising from any claim relating to this agreement or the subject matter hereof. Such limitation of liability shall apply to prevent recovery of direct, indirect, incidental, consequential, special, exemplary, and punitive damages whether such claim is based on warranty, contract, tort (including negligence) or otherwise (even if CucuMe or its licensors have been advised of the possibility of such damages). Such limitation of liability shall apply whether the damages arise from use or misuse of and reliance on the CucuMe service, from inability to use the CucuMe service, or from interruption, suspension, or termination of the CucuMe service (including such damages incurred by third parties). This limitation shall also apply with respect to damages incurred by reason of other services or goods received through or advertised on the CucuMe service or received through any links provided by the CucuMe service, as well as by reason of any information or advice received through or advertised on the CucuMe service or received through any links provided by the CucuMe service. This limitation shall also apply without limitation to the costs of procurement of substitute goods or services, lost profits, or lost data. Such limitation shall further apply with respect to the performance or non-performance of the CucuMe service or any information or merchandise that appears on or is linked or related in any way to the CucuMe service. Such limitation shall apply notwithstanding any failure of essential purpose of any limited remedy.

Without limiting the foregoing, under no circumstances shall CucuMe or its licensors be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labour or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

Requests for Removal of Links or Cached Materials

CucuMe occasionally receives requests from people to remove links from its indexes. Although CucuMe reserves the right to address such requests individually, the general approach that CucuMe takes reflects the following principles: CucuMe's indexes consist of information that has been identified, indexed and compiled through an automated process with no advance review by human beings. That process is driven by the owners of the individual websites being indexed. Given the enormous volume of web site information added, deleted, and changed on a frequent basis, CucuMe cannot and does not screen anything made available through its indexes.

Every website owner has the ability to remove his website from our indexes. Third parties who believe a website is offensive, libellous, or illegal for some other reason must in the first instance approach the owner of the website. CucuMe will entertain requests from a complainant to remove a website from our indexes only in the following circumstances:

Under no circumstances will CucuMe referee or otherwise stand in judgement in a dispute between a complainant and a website owner.

Website owners may request removal of their page from the CucuMe results. CucuMe evaluates such requests for the removal of content as part of its automated processing, and does not guarantee that every request will be granted in a timely manner.

Miscellaneous Provisions

The CucuMe service is provided in Scotland, and these Terms of Service will be governed by and construed in accordance with the laws of Scotland. Users of the CucuMe service who are located in some other country or state will be regarded as using the service in Scotland, and Scottish law will apply. Users of the service take full responsibility for, and hereby indemnify CucuMe Ltd, its agents or employees from any liability for the importation of goods, services and data obtained directly or indirectly through the CucuMe service. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.

These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by CucuMe.
